2. Acceptance of these terms

By creating an account or otherwise using the Platform, you agree to be bound by these Terms of Use. If you do not accept them, please do not use Screenflex.

Where you use the Platform on behalf of an organisation, you warrant that you have authority to bind that organisation, and “you” refers to it.

Screenflex publishes several documents that together form the contractual framework. Each covers a distinct subject:

Where these Terms of Use and the Terms and Conditions of Sale differ on a question of purchase, price or refund, the Terms and Conditions of Sale prevail.

4. Accounts

Certain features require an account. You are responsible for the accuracy of the information you provide and for keeping it up to date.

You are responsible for keeping your credentials confidential and for all activity carried out from your account. Tell us without delay at contact@screenflex.pro if you believe your account has been used without your authorisation.

You may add members of your team to your account with defined roles. You remain responsible for what those members do on the Platform.

5. Use of the Platform

Screenflex provides a digital signage platform that lets you create, schedule and broadcast content to connected screens. You may use it for your own business purposes, in accordance with these Terms and with applicable law.

Screens visible from public spaces reach an audience that has not chosen to see your content. You are expected to take that into account in what you broadcast.

6. Your content

You retain full ownership of the content you upload. Uploading content does not transfer any ownership to Screenflex.

You grant Screenflex a non-exclusive, worldwide, royalty-free licence to host, reproduce, adapt in format, and broadcast that content, solely so that we can supply the service to you. That licence ends when the content is deleted from your account.

You warrant that you hold every right necessary to broadcast your content, including intellectual property rights and any clearances relating to the image of identifiable people.

We use our best efforts to keep the Platform continuously available, and we maintain it so that it stays secure and current.

We may interrupt the service for planned maintenance and will give notice where we reasonably can. We are not responsible for interruptions caused by your own internet connection or equipment.

9. Our intellectual property

The Platform, the Site, their software, visual identity, trade marks and databases are the exclusive property of Screenflex and are protected by the regulations applicable to literary, artistic and industrial property.

Your subscription grants a personal, non-exclusive and non-transferable right to use the Platform. It does not grant you any right to reproduce, adapt, decompile or make the Platform available to third parties.

10. Personal data

We process personal data in accordance with organic law no. 2004-63 of 27 July 2004 on the protection of personal data.

11. Limitation of liability

We are answerable for the proper performance of our obligations under the general law.

We are not liable for indirect loss such as loss of turnover, loss of customers or damage to reputation, nor for the content you choose to broadcast.

Save in cases of gross negligence or wilful misconduct, our liability is limited to the sums you actually paid over the twelve (12) months preceding the event giving rise to the claim.

12. Suspension and closure

We may suspend or close an account that breaches these Terms.

Where content is manifestly unlawful, or where the security of the Platform is threatened, we may suspend access without notice and will inform you as soon as possible.

You may close your account at any time. Thirty (30) days after closure, content hosted on your account may be permanently deleted, so please take a backup before then.

13. Changes to these terms

We may update these Terms of Use. The version published on the Site is the one in force.

Where a change materially affects your rights, we will tell you by email or through the Platform at least thirty (30) days before it takes effect.

14. Governing law and jurisdiction

These Terms of Use are governed by Tunisian law.

The parties will endeavour to resolve any dispute amicably. Failing that, the dispute will be brought before the competent courts of Tunis, subject to the mandatory rules of jurisdiction applicable to consumers.
